SGCH has a contemporary and appropriate structure, suitable for the size and complexity of our business and the requirements of our funders, financiers and other stakeholders.
SGCH Group Structure
SGCH is made up of a parent company (St George Community Housing Limited), and two subsidiary companies, SGCH Portfolio Limited and SGCH Sustainability.
SGCH Portfolio Limited has been operational since 1 November 2014 and SGCH Sustainability since July 2015. We established both subsidiaries to hold a selection of SGCH’s Social and Affordable Housing assets, from which we could secure finance deals with the Commonwealth Bank (for SGCH Portfolio) and the Clean Energy Finance Corporation (for SGCH Sustainability). These financial arrangements fund the construction of new Social and Affordable homes for families on low incomes as part of the NSW Government’s Social and Affordable Housing Fund (SAHF) Phases 1 and 2.

SGCH Board
The role of the Board is to set and guide the strategic direction of the organisation and oversee its activities with an appropriate level of governance and risk management. SGCH Group has an established Risk Management Framework aligned to ISO 31000:2009, Risk Management – Principles and Guidelines. We have embedded risk management in our corporate governance processes.
The SGCH Group has four Board Governance Committees to oversee strategic areas of business operation:
Audit and Risk
Manages key risks of the group, specifically; financial reporting, compliance with laws, regulations and other requirements. The Committee Charter is available here.
Development and Construction
Reviews the delivery of development and construction projects including business cases and risk mitigation, probity, and receives progress reports to ensure agreed objectives and outcomes are on target. The Committee Charter is available here.
Work Health Safety and Environment
Maintains oversight of safety, health and environmental matters and safety culture, specifically reviewing and guiding policies, systems, risk and performance of SGCH, suppliers, consultants, contractors and other third parties. The Committee Charter is available here.
People and Culture
Assists the Board to fulfil its statutory, corporate governance and oversight responsibilities in relation to the people, remuneration and culture of SGCH. The Committee Charter is available here.
